1. Eligibility and Use
- You must have a verified WhatsApp Business Account and comply with WhatsApp's Commerce and Business Policies.
- You agree to use the Services solely for lawful business purposes.
2. Service Scope
- Access to WhatsApp Business APIs, automation, integrations, and analytics tools.
- Service availability and message delivery depend on Meta's infrastructure and policy guidelines.
3. Fees and Payment
- Fees may include API charges, platform fees, and setup costs.
- Payments are due per invoice. Late payments may lead to suspension.
4. Data & Privacy
- You retain ownership of customer data.
- We act as a data processor and comply with applicable data protection laws.
- Meta may access data per their privacy policy.
5. Message Content & Compliance
- You are responsible for message content compliance.
- Spamming or unsolicited messages are prohibited.
- Templates must be pre-approved by WhatsApp.
6. Service Availability and SLA
- Targeted uptime is 99.5% with no guarantees.
- Downtime may occur due to maintenance or third-party issues.
7. Termination
- 30 days' notice required for termination.
- Immediate termination for policy violations or payment default.
- All access ceases upon termination.
8. Limitation of Liability
- We are not liable for indirect or consequential damages.
- Liability is capped at the fees paid in the last 3 months.
9. Indemnification
You agree to indemnify us from any misuse of the service, legal claims, or breaches of policy.
10. Governing Law
These terms are governed by the laws of Kingdom of Saudi Arabia. Disputes shall be resolved in Mumbai.
11. Modifications
We may update these Terms. Continued use implies acceptance of any changes.
